Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between Commerceflo, Inc. ("Commerceflo," "we," "our," or "us") and you, the entity or individual accessing or using the Commerceflo platform ("you" or "Merchant").

By creating an account, clicking "I agree," or otherwise accessing or using the Service, you represent that:

  • You are at least 18 years of age;
  • You have the legal authority to enter into this agreement on behalf of a business entity, if applicable; and
  • You have read, understood, and agree to be bound by these Terms and our Privacy Policy.

If you do not agree to these Terms, do not access or use the Service. If you are entering into this agreement on behalf of a company or other legal entity, you represent that you have the authority to bind such entity.

2. Description of Service

Commerceflo provides an AI-Native Unified Omnichannel Commerce Platform delivered as a software-as-a-service (SaaS) subscription. The Service includes:

  • DTC Storefront: Headless, AI-ready direct-to-consumer storefronts with native commerce capabilities
  • Marketplace Integrations: Synchronized listing management for Amazon, Walmart, eBay, Etsy, and other major marketplaces
  • B2B Commerce: Wholesale portals, customer-specific pricing, net terms, and purchase order management
  • Omnichannel POS: In-store point-of-sale system unified with your online inventory and order management
  • Inventory & ERP: Real-time inventory management, warehouse operations, and ERP integrations
  • AI Commerce Agents: Autonomous AI agents for product content generation, inventory optimization, pricing analysis, and order intelligence
  • Analytics & Reporting: Unified commerce analytics across all channels

Commerceflo reserves the right to modify, add, or remove features from the Service at any time, with reasonable advance notice for material changes.

3. Account Registration

To use the Service, you must create an account by providing accurate and complete information, including your business name, email address, and other requested details. You agree to:

  • Provide accurate, current, and complete information during registration and keep it updated;
  • Maintain one account per business entity (multiple user seats within one account are permitted);
  • Keep your account credentials confidential and not share your password with any unauthorized party;
  • Immediately notify Commerceflo at security@commerceflo.ai if you suspect any unauthorized access to your account.

You are solely responsible for all activity that occurs under your account, whether or not authorized by you. Commerceflo is not liable for any loss resulting from unauthorized account access that occurs without our fault.

4. Subscription Plans & Billing

Commerceflo offers the following subscription plans:

  • Starter — $149/month (or ~$105/month billed annually): For emerging brands getting started with omnichannel commerce.
  • Growth — $399/month (or ~$279/month billed annually): For scaling merchants with multi-channel operations.
  • Scale — $899/month (or ~$629/month billed annually): For high-volume merchants requiring advanced AI and automation.
  • Enterprise — Custom pricing: For large enterprises, manufacturers, and distributors with complex requirements.

Annual billing provides approximately 30% savings compared to month-to-month pricing and is paid upfront for a 12-month period.

No GMV fees. Commerceflo charges a flat subscription fee only. We do not take a percentage of your gross merchandise value (GMV), regardless of your sales volume.

Available add-ons:

  • Additional sales channels: $29/month per channel
  • AI credit packs: $10 per 1,000 credits
  • Additional POS locations: $39/month per location

All payments are processed by Stripe, Inc. Subscription fees are billed at the start of each billing period (monthly or annual). Commerceflo reserves the right to modify pricing with 30 days advance notice via email. Continued use of the Service after a price change constitutes acceptance of the new pricing.

5. Free Trial

New accounts are eligible for a 14-day free trial with full access to Growth-tier features. No credit card is required to start a free trial.

If you do not select and activate a paid subscription plan before the trial period expires, your account will automatically convert to the free tier (not a paid plan). Your data will be preserved, but access to paid features will be suspended until you upgrade.

Commerceflo reserves the right to modify, limit, or discontinue the free trial offering at any time without notice. Only one free trial is permitted per business entity.

6. Free Tier

Commerceflo offers a permanent free tier for accounts that have completed their free trial without upgrading. The free tier provides:

  • Read-only access to your commerce data
  • One DTC channel (limited functionality)
  • Full preservation of all your data — we never delete merchant data

On the free tier, the following features are suspended:

  • AI agent operations (credits paused)
  • Active marketplace connections (sync disconnected; data preserved)
  • POS access
  • B2B commerce portal
  • Advanced analytics

You may upgrade to a paid plan at any time to immediately restore full access. All previously connected channels and configurations will be restored upon upgrade.

7. AI Credits & Usage

Commerceflo's AI features consume "AI Credits." Each subscription plan includes a monthly allocation of AI Credits:

  • Starter: 5,000 AI Credits/month
  • Growth: 25,000 AI Credits/month
  • Scale: 100,000 AI Credits/month
  • Enterprise: Custom allocation

AI Credit policies:

  • Unused AI Credits do not roll over to the next billing period.
  • Additional AI Credits may be purchased at any time at $10 per 1,000 credits.
  • Critical operations — including order routing, payment capture, and fulfillment triggers — are never blocked due to AI Credit exhaustion. These operations will continue to run regardless of credit balance.
  • Rate limits apply based on your subscription tier: Starter (10 requests/minute), Growth (50 requests/minute), Scale (200 requests/minute).

8. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the platform to sell, promote, or facilitate illegal products or services, including counterfeit goods, controlled substances, or prohibited items on any connected marketplace;
  • Attempt to reverse-engineer, decompile, disassemble, or extract source code from Commerceflo's platform or AI models;
  • Upload or transmit malicious code, viruses, or any other software intended to compromise the platform or other users' systems;
  • Resell, sublicense, or provide access to the Service to third parties without a formal Agency Partner Agreement with Commerceflo;
  • Exceed the GMV or operational limits of your subscription tier without upgrading to an appropriate plan;
  • Interfere with or disrupt the integrity or performance of the platform or its underlying infrastructure;
  • Use the Service in violation of any applicable marketplace terms of service, including Amazon's Seller Policies, Walmart's Seller Terms, or any other connected marketplace's rules.

Commerceflo reserves the right to suspend or terminate accounts that violate this Acceptable Use policy, with or without notice, depending on the severity of the violation.

9. Intellectual Property

Commerceflo's intellectual property: The Commerceflo platform, including its source code, AI models, algorithms, user interface designs, trademarks, and branding, is owned by Commerceflo, Inc. and protected by intellectual property laws. Nothing in these Terms grants you any ownership rights in Commerceflo's intellectual property.

Your data and content: You retain full ownership of all commerce data you upload to the platform, including your product catalogs, order records, customer data, and business information. You also retain ownership of all AI-generated content created on your behalf through the platform (product descriptions, analyses, reports, etc.).

License from you to Commerceflo: By using the Service, you grant Commerceflo a limited, non-exclusive, royalty-free license to access, process, store, and transmit your data solely for the purpose of providing and improving the Service to you. This license terminates upon deletion of your account.

10. Data & Privacy

Commerceflo's collection and use of your information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

With respect to your customers' personal data (end-consumer data processed through your storefront or B2B portal), you are the data controller and Commerceflo acts as a data processor on your instructions. You are responsible for ensuring you have appropriate legal bases for processing your customers' data and for complying with applicable data protection laws, including GDPR and CCPA, as they apply to your business.

11. Third-Party Integrations

The Commerceflo platform connects with third-party services and platforms, including marketplace APIs (Amazon, Walmart, eBay), payment processors (Stripe), shipping carriers, ERP systems, and others. You acknowledge and agree that:

  • Commerceflo is not responsible for the availability, accuracy, or actions of third-party services;
  • Outages or policy changes by third-party platforms (including marketplace suspensions or API changes) are outside Commerceflo's control and do not constitute a breach of these Terms;
  • You must comply with the terms of service of each marketplace or third-party platform you connect to via Commerceflo;
  • By connecting a third-party channel, you authorize Commerceflo to act on your behalf when interacting with that channel's API, including listing products, updating inventory, and processing orders.

12. Service Availability & SLA

Commerceflo targets 99.9% monthly uptime for the Scale and Enterprise tiers, and uses commercially reasonable efforts to maintain availability for Starter and Growth tiers. Uptime is calculated excluding scheduled maintenance windows.

Scheduled maintenance will be communicated via email and the Commerceflo status page with reasonable advance notice. Emergency maintenance may occur without advance notice when required for security or stability.

Commerceflo does not guarantee uninterrupted or error-free operation of the Service. Force majeure events — including natural disasters, acts of government, internet infrastructure failures, or actions of third parties outside Commerceflo's control — will excuse Commerceflo from performance obligations.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, COMMERCEFLO'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE TOTAL FEES PAID BY YOU TO COMMERCEFLO IN THE 12-MONTH PERIOD IMMEDIATELY PRECEDING THE CLAIM.

IN NO EVENT WILL COMMERCEFLO BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOSS OF BUSINESS, LOSS OF GOODWILL, OR LOSS OF DATA, EVEN IF COMMERCEFLO HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

AI-generated content and recommendations are provided "as-is." Commerceflo makes no warranty that AI outputs will be accurate, complete, or suitable for any particular purpose. You are responsible for reviewing all AI-generated content before publishing or acting on it. Commerceflo is not liable for business outcomes resulting from reliance on AI recommendations.

14. Indemnification

You agree to defend, indemnify, and hold harmless Commerceflo, Inc. and its officers, directors, employees, agents, and successors from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including attorneys' fees) arising from:

  • Your use of the Service in violation of these Terms;
  • Products or services sold by you through channels managed via Commerceflo, including any product liability claims, marketplace policy violations, or consumer protection issues;
  • Your violation of any applicable law, regulation, or third-party rights in connection with your use of the Service; or
  • Your customers' data, including any breach of your obligations as a data controller.

15. Termination

Cancellation by you:

  • Monthly plans: You may cancel at any time. Cancellation takes effect at the end of the current billing period. No partial-month refunds.
  • Annual plans: You may cancel at any time. Service will continue through the end of the paid annual period. No refunds are issued for remaining months of an annual subscription.

Termination by Commerceflo:

Commerceflo may suspend or terminate your account with 30 days notice for material violation of these Terms. Commerceflo may terminate immediately and without notice for:

  • Fraudulent activity or non-payment;
  • Use of the platform for illegal purposes;
  • Actions that pose a security risk to the platform or other users.

Effect of termination:

  • Upon termination, you will have 30 days to export your commerce data. After 30 days, your data will be permanently deleted in accordance with our Privacy Policy.
  • Accrued payment obligations survive termination.

16. Modifications to Terms

Commerceflo may update these Terms of Service from time to time. For material changes, we will notify you by email at least 30 days before the changes take effect. We will also update the "Last updated" date at the top of this page.

Your continued use of the Service after the effective date of any modifications constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service and may cancel your subscription.

17. Governing Law & Disputes

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Binding Arbitration: Any dispute, controversy, or claim arising out of or relating to these Terms or the Service will be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration will be conducted in English.

Class Action Waiver: YOU AND COMMERCEFLO AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent irreparable harm.
